General Conditions

Your use of the Service, including any content, information or functionality contained within it, is provided “as is” and “as available” with no representations or warranties of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume total responsibility and risk for your use of this Service.

You agree not to resell, duplicate, reproduce or exploit any part of the Service without the express written permission of Redbooth.

You may not use the Service to store, host, or send unsolicited email (spam).

You understand that the Service can be used for transmission of your Content, and that during processing, your Content, including Client names, project names, task details, and account information may be transferred unencrypted over the internet.

You may not use the Service to transmit any viruses, worms, or malicious content.

Redbooth makes no warranties regarding (i) your ability to use the Service, (ii) your satisfaction with the Service, (iii) that the Service will be available at all times, uninterrupted, and error-free (iv), the accuracy of mathematical calculations performed by the Service, and (v) that bugs or errors in the Service will be corrected.

Redbooth, its affiliates and its sponsors are neither responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising out of or relating in any way to your use of the Service. Your sole remedy for dissatisfaction with the Service is to stop using the Service.

If any provision of the Terms Of Service is held invalid or otherwise unenforceable, the enforceability of the remaining provisions shall not be impaired thereby.

The failure of Redbooth to exercise any right provided for herein shall not be deemed a waiver of any right hereunder. The Terms Of Service sets forth the entire understanding between you and Redbooth as to the Service and supersedes any prior agreements between you and Redbooth (including, but not limited to, prior versions of the Terms Of Service).

Terms of Service & Fair Use Policies

Access

Redbooth requires a double opt-in process for an account to be created. Once you provide your email address (opt-in 1), Redbooth sends a verification email. This email must be clicked by the owner of the email address in order to continue with account creation (opt-in 2).

This double opt-in is the safest and most secure way to protect our users. No one can sign in to or use to Redbooth on your behalf, or artificially force you to accept terms of service.

On web. Regarding GDPR and other international compliance laws, we ask users to accept our Terms of Service during the Complete Profile step. This means that you, and only you, will agree to our Terms of Service. We do not ask this during the initial sign up because anyone can input your email address and click ‘I accept’, without you actually accepting the terms. Once you activate your account, your email address is stored securely in Redbooth’s user database.

On Android and iOS Apps. Regarding GDPR and other international compliance laws, we ask users to accept our Terms of Service before the login process can begin. As the beholder of the mobile device, this means that you, and only you, will agree to our Terms of Service. We do not ask this during the initial sign up because anyone can input your email address and click ‘I accept’, without you actually accepting the terms.

Deleting unverified Emails. Once a email address is first submitted signup, it is only stored temporarily. If a user does not activate their account, the email address is deleted from our servers after just 7 days. These emails are not used for future marketing, or retargeting on advertising networks.

Payment

A valid credit card is required for paying accounts. A credit card is not required to create a trial account. We will charge you a standard fee based on your account type.

The Service is billed in advance for each period, and is non-refundable, unless otherwise noted.

Should you upgrade or downgrade your account type, your credit card will be charged your new billing rate immediately. Your credit card will then be charged your new billing rate each billing period thereafter unless you cancel your account.

All fees are exclusive of all taxes or duties imposed by governing authorities. You alone are responsible for payment of all such taxes or duties.

Tracking data collection

In order to provide a better service, Redbooth may use cookies to identify your user with services like Google Analytics and Google Adwords. Some cookies are required by Redbooth to provide a consistent experience throughout the product on modern web browsers. Additional cookies are used to track our online marketing. Modifications to the Service

Redbooth reserves the right to modify, suspend, or discontinue the Service at any time for any reason with or without notice.

Modifications of Fees

Redbooth reserves the right to change our standard fees upon 30 days notice from us.

Cancellation

You alone are responsible for the proper cancellation of your account.

Your account and all of its content will be deleted immediately upon your cancellation of the Service.

You can cancel at any time, but you will remain liable for all charges accrued up to that time, including full charges for the month which you discontinued Service. You will not be charged again.

Termination

Redbooth reserves the right to modify, suspend, or terminate your account at any time for any reason without notice or refund. We also reserve the right to delete all Content associated with your account.

Redbooth may refuse Service to anyone for any reason at any time.

Copyright and Ownership

Redbooth or its suppliers own the intellectual property rights to any and all protectable components of the Service, including but not limited to the name of the Service, artwork and end-user interface elements contained within the Service, many of the individual features, and the related documentation. You may not copy, modify, adapt, reproduce, distribute, reverse engineer, decompile, or dissemble any aspect of the Service which Redbooth or its suppliers own.

Redbooth claims no intellectual property rights over the Content you upload or provide to the Service. However, by using the Service to send content, you agree that others may view and share your Content upon your request or your collaborators’ request.

Contact and notifications

By registering to use Redbooth you are opting into receiving our email notifications related to the product and your projects. We will not share your email with 3rd parties. Our staff may contact you for information and service notifications relevant to your account.

Fair Use Policy

We strive to offer our customers fantastic value and great features with Redbooth. This Fair Usage Policy (“FUP”) is designed to prevent fraud and abuse of our subscription service by a small number of users.

Redbooth subscriptions are for direct use only (personal or business collaboration) in accordance with our Terms of Use and this FUP (“Legitimate Use”). The following is a non-exhaustive list of practices that would not be considered Legitimate Use:

  • Sharing subscriptions (users) between multiple individuals, through shared passwords, computer use or any other means
  • Using video conferencing to support telemarketing or call center operations
  • Re-selling video chat or other communication services
  • Generating revenue for Redbooth services used outside your individual business collaborations; for example leveraging Redbooth to store data for others, or soliciting or fulfilling services through Redbooth
  • Unusual communication patterns inconsistent with normal, individual subscription use, for example, use of video conferencing for home surveillance or as a “nanny camera”
  • Video conferencing use in excess of your Redbooth plan or more than 2 hours per individual video conference

Each user must be an employee, officer, director, contractor, agent, or similar representative of your organization (“Internal Users”). Notwithstanding the foregoing, Redbooth reserves the right to grant limited access to specified individuals outside your organization (“External Users”) in its sole and absolute discretion; provided, however, that no rights shall be granted to any Internal User except pursuant to a paid subscription. All use by External Users shall (i) be subject to this FUP and Redbooth’s Terms of Use, (ii) be limited to such use as is necessary and incidental to Internal Users’ authorized internal use, and (iii) not designed to circumvent this FUP, Redbooth’s Terms of Use, or the need to subscribe for additional paid Internal User access.

Other practices may be relevant in determining Legitimate Use and Redbooth reserves the right to take any unlawful, prohibited, abnormal or unusual activity into account in making its determination.

To help ensure we’re able to deliver a great value to customers using Redbooth as intended, we may suspend or terminate our relationship with those we believe are violating this FUP or Redbooth’s Terms of Use. Where reasonable, Redbooth will notify users before their subscription is suspended or terminated.
